The India entity is undergoing significant capital expansion with asset-heavy investments, offering a dynamic environment for professionals to contribute to governance and compliance in a high-growth setup.
Role OverviewWe are seeking a qualified Company Secretary (ICSI Member) with relevant experience to manage and strengthen the corporate secretarial and compliance framework of the India entity. The role will have direct exposure to capital investments, regulatory compliance, and governance processes.
Key ResponsibilitiesEnsure compliance with provisions of the Companies Act, 2013 and other applicable regulationsIndependently manage:Board MeetingsCommittee MeetingsAnnual General Meetings (AGMs)Draft and finalize:Notices, agendas, minutes, and resolutionsFiling of statutory forms and returns with Registrar of Companies (ROC)Maintain statutory registers and corporate recordsDrive and monitor the compliance calendar with ownershipSupport and manage secretarial audits, due diligence, and regulatory reportingLiaise with auditors, legal advisors, and regulatory authoritiesHandle compliance related to:Capital infusion / investments / funding transactionsCorporate restructuring and expansion projectsCoordinate with Finance and leadership on governance matters
Eligibility Criteria (Mandatory)Qualified Company Secretary (Member of the Institute of Company Secretaries of India - ICSI)Minimum 5 years of post-qualification experience in corporate secretarial/compliance role
Required SkillsStrong working knowledge of Companies Act, 2013 and secretarial practicesHands-on experience with MCA/ROC filings and board processesExposure to capital transactions / investments / compliance frameworksStrong drafting, documentation, and analytical skillsAbility to work independently and manage multiple stakeholders
Preferred (Good to Have)Exposure to:FEMA / RBI complianceMultinational company environmentInfrastructure / logistics / asset-heavy sectors
